The rules of engagement for working with NodeCompose

These Terms outline our mutual responsibilities and the safeguards that protect your organization when partnering with NodeCompose for automation programs and AI solutions.

Agreement overview

  • These Terms of Service (the “Terms”) govern your access to and use of NodeCompose services, including consulting engagements, automation delivery, software, and related support (collectively, the “Services”). By accessing or using the Services you agree to be bound by these Terms.

Eligibility

  • You warrant that you have the authority to enter into these Terms on behalf of the organization you represent. The Services are intended for business use only and are not offered to individuals under the age of 18.

Engagement documents

  • Statements of work, order forms, or master service agreements (each, an “Engagement Document”) may supplement these Terms. If there is a conflict, the Engagement Document controls for the specific Services in scope.

Use of services

  • You will use the Services in accordance with applicable laws and ensure that any data you provide has been collected and shared legally.
  • You will not reverse engineer, disrupt, or attempt to gain unauthorized access to infrastructure supporting the Services.
  • You are responsible for maintaining the confidentiality of credentials issued to your team.

Client data

  • You retain ownership of all data, content, and information provided to NodeCompose in connection with the Services (“Client Data”). We process Client Data solely to deliver the Services and according to your instructions.
  • You grant NodeCompose a limited, non-exclusive license to use Client Data for the duration of the engagement to operate, maintain, and improve the Services.

Intellectual property

  • NodeCompose retains all rights to pre-existing materials, automation templates, software, and methodologies used in delivering the Services. Unless otherwise stated in an Engagement Document, we grant you a non-exclusive, non-transferable license to use deliverables for your internal business purposes.

Fees and payment

  • You agree to pay fees described in the applicable Engagement Document. Unless specified otherwise, invoices are due within 30 days of receipt. Late payments may accrue interest at the rate permitted by law.

Confidentiality

  • Each party agrees to protect the other’s confidential information with the same degree of care it uses to protect its own. Confidential information may be disclosed to employees, contractors, or advisors who need to know it and are bound by confidentiality obligations.

Warranties and disclaimers

  • NodeCompose warrants that it will perform the Services in a professional and workmanlike manner. Except as expressly stated, the Services are provided “as is” without other warranties, including implied warranties of merchantability or fitness for a particular purpose.

Limitation of liability

  • To the extent permitted by law, neither party will be liable for indirect, consequential, special, or incidental damages. NodeCompose’s total liability arising out of or relating to the Services is limited to the fees you paid for the Services giving rise to the claim during the twelve months preceding the event.

Indemnification

  • You agree to indemnify and hold NodeCompose harmless from claims arising out of your use of the Services, provided that NodeCompose promptly notifies you of the claim and cooperates in the defense. NodeCompose will indemnify you against third-party claims that our Services infringe intellectual property rights, subject to the same conditions.

Term and termination

  • These Terms remain in effect for as long as you use the Services. Either party may terminate for convenience with thirty days’ notice, unless an Engagement Document specifies otherwise. Either party may terminate immediately for material breach if the breach is not cured within fifteen days of notice.

Governing law

  • These Terms are governed by the laws of the State of California, excluding its conflict of law principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in San Francisco County, California.

Changes to terms

  • We may update these Terms to reflect changes in the Services or applicable law. Updated versions will be posted on this page with a revised effective date. Continued use of the Services after the update constitutes acceptance of the modified Terms.
